Terms of Service

Effective Date: January 31, 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you and Homie Lab Inc. ("Rush," "we," "us," "our") governing your use of the Rush mobile application, website, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use Rush.

1. Eligibility

1.1 Age Requirement

You must be at least 18 years old to use Rush. This is a strict requirement. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under applicable law

1.2 Prohibited Users

You may not use Rush if you:

• Are under 18 years of age
• Have been previously banned from the Service
• Are required to register as a sex offender in any jurisdiction
• Are prohibited by law from using dating or social networking services

1.3 Acknowledgment of Adult Content

By using Rush, you acknowledge that:

• The Service is designed for adults seeking connections with other adults
• You may encounter profiles and content of a sexual nature
• Private messaging may involve explicit adult content between consenting users
• You assume responsibility for your interactions with other users

2. Account Registration and Security

2.1 Accurate Information

You agree to:

• Provide accurate, current, and complete information during registration
• Update your information to maintain its accuracy
• Not misrepresent your identity, age, or any material facts

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

2.3 One Account Per Person

• You may maintain only one active Rush account
• Creating multiple accounts to evade bans or manipulate the Service is prohibited
• Accounts created for others or through automated means are prohibited

3. License Grant

3.1 License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Rush app on your personal device
• Access and use the Service for personal, non-commercial purposes

3.2 Restrictions

You may not:

• Copy, modify, or distribute the Service or any content therein
• Reverse engineer, decompile, or disassemble the Service
• Use the Service for any commercial purpose without authorization
• Sublicense or transfer your rights to any third party
• Remove any proprietary notices or labels

3.3 Intellectual Property

Rush, its logo, features, and functionality are owned by Homie Lab Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

4. User Content

4.1 Your Ownership

You retain all ownership rights in the photos, text, and other content you upload to Rush ("User Content").

4.2 License to Rush

By uploading User Content, you grant Rush a worldwide, non-exclusive, royalty-free, sublicensable license to:

• Store, host, and back up your content
• Reproduce and modify for formatting and display purposes
• Display and distribute your content within the Service
• Use for safety scanning and content moderation

4.3 License Duration

This license continues until your content is deleted, except we may retain copies:

• As required for legal compliance
• For ongoing safety investigations
• In backup systems (purged within 60 days of deletion)

4.4 Content Representations

You represent that your User Content:

• Is owned by you or you have rights to share it
• Does not infringe any third party's intellectual property or privacy rights
• Does not depict any person under 18 years of age
• Complies with our Community Guidelines and Acceptable Use Policy

5. Prohibited Conduct

You agree NOT to:

5.1 Harm to Others

• Harass, threaten, stalk, bully, or intimidate any user
• Engage in hate speech or discrimination based on race, ethnicity, religion, gender identity, sexual orientation, disability, HIV status, or other protected characteristics
• Share non-consensual intimate imagery ("revenge porn")
• Doxx, blackmail, extort, or coerce any user
• Engage in grooming behaviors or attempt to contact minors

5.2 Deception and Fraud

• Impersonate any person or entity
• Misrepresent your identity, age, photos, or material facts ("catfishing")
• Engage in scams, fraud, or phishing
• Create fake profiles or accounts

5.3 Location Abuse

• Attempt to derive exact coordinates of other users
• Stalk, track, or monitor users beyond what the Service displays
• Use the Service to locate users for harmful purposes

5.4 Commercial Activity

• Engage in escorting, prostitution, or commercial sex work
• Solicit money, gifts, or financial transactions
• Advertise or sell products or services
• Recruit users for external services

5.5 Illegal Activity

• Post or distribute illegal content
• Facilitate drug sales or distribution
• Facilitate weapons sales
• Engage in any activity that violates applicable law

5.6 Technical Abuse

• Scrape, crawl, or data mine the Service
• Use bots, automation, or unauthorized scripts
• Attempt to access accounts or systems without authorization
• Circumvent blocks, bans, or security measures
• Interfere with the Service's operation or infrastructure
• Post malware or harmful code

6. Safety and Moderation

6.1 Our Right to Moderate

We reserve the right, but have no obligation, to:

• Review and remove User Content at our discretion
• Investigate reported violations
• Restrict features, issue warnings, or suspend accounts
• Permanently ban users who violate these Terms

6.2 Content Scanning

We may scan uploaded content using automated tools for:

• Safety violations (CSAM, non-consensual imagery)
• Policy violations
• Fraud and spam indicators

6.3 User Reports

We rely on user reports to identify violations. You can report concerning behavior through in-app tools. False or abusive reports may result in enforcement against the reporter.

6.4 No Guarantee of Safety

Rush cannot verify the identity or intentions of users. You interact with other users at your own risk. We are not responsible for the conduct of any user, whether online or offline.

7. Location Features

7.1 Approximate Location

The Service displays:

• Approximate distances between users
• Approximate map placement on the "Right Now" feature (minimum 500m radius)

7.2 Prohibited Location Conduct

You must NOT:

• Attempt to triangulate or calculate exact user locations
• Track or monitor users beyond what the Service displays
• Meet or follow users offline without mutual consent

7.3 Location Risks

You acknowledge that:

• Location features carry inherent privacy risks
• You should exercise caution, especially in regions where LGBTQ+ status may create safety concerns
• You can disable location features in your settings

8. Paid Features and Subscriptions

8.1 In-App Purchases

Premium features may be offered through Apple App Store or Google Play ("Platform") in-app purchase systems.

8.2 Platform Terms

Purchases are processed by and subject to the terms of the relevant Platform. This includes:

• Billing and payment processing
• Subscription renewal and cancellation
• Refund policies

8.3 Subscription Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You can manage subscriptions through your Platform account settings.

8.4 No Refunds from Rush

Refund requests must be directed to the Platform (Apple/Google). Rush does not process payments directly and cannot issue refunds.

9. Disclaimers

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF CONTENT

9.2 No Guarantee of Availability

We do not guarantee that the Service will be:

• Uninterrupted or error-free
• Free of viruses or harmful components
• Available at all times or in all locations

9.3 User Conduct

WE ARE NOT RESPONSIBLE FOR:

• The conduct of any user, online or offline
• User Content posted by others
• The accuracy of information provided by users
• The outcome of any interactions or meetups

9.4 Third-Party Services

The Service may link to or integrate with third-party services. We are not responsible for their content, policies, or practices.

10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUSH'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• CAD $100, OR
• THE AMOUNTS YOU PAID TO RUSH IN THE 12 MONTHS PRECEDING THE CLAIM

10.2 Exclusion of Damages

IN NO EVENT SHALL RUSH BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
• DAMAGES ARISING FROM USER CONDUCT OR USER CONTENT
• DAMAGES ARISING FROM OFFLINE INTERACTIONS WITH OTHER USERS

10.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such cases, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Homie Lab Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your interactions with other users

12. Dispute Resolution and Arbitration

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

12.2 Mandatory Arbitration

PLEASE READ CAREFULLY: This section affects your legal rights.

Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through binding individual arbitration, except:

• Small claims court actions (within jurisdictional limits)
• Intellectual property claims requiring injunctive relief
• Claims for emergency equitable relief

12.3 Arbitration Procedure

Arbitration shall be conducted by a single arbitrator under the rules of ADR Chambers in Toronto, Ontario. The arbitrator's decision shall be final and binding.

12.4 Class Action Waiver

YOU AND RUSH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

12.5 Opt-Out Right

You may opt out of this arbitration agreement by notifying us in writing within 30 days of account creation at privacy@feeltherush.app. Your notice must include your name, email, and a clear statement that you wish to opt out.

12.6 Survival

This arbitration provision shall survive termination of these Terms or your account.

13. Termination

13.1 Your Right to Terminate

You may delete your account at any time through the app settings. Account deletion will be processed according to our Privacy Policy retention schedule.

13.2 Our Right to Terminate

We may suspend or terminate your account at any time, with or without notice, for:

• Violations of these Terms or our policies
• Conduct that poses a safety risk to users
• Suspected fraud or illegal activity
• Extended inactivity
• Any other reason at our sole discretion

13.3 Effect of Termination

Upon termination:

• Your license to use the Service ends immediately
• You remain bound by provisions that by their nature survive termination (including indemnification, limitation of liability, and dispute resolution)

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, Community Guidelines, Acceptable Use Policy, and other referenced policies, constitute the entire agreement between you and Rush.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, wars, terrorism, labor disputes, or infrastructure failures.

14.6 Notices

We may provide notices via the app, email, or our website. You may contact us at privacy@feeltherush.app.

15. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide notice through the app or via email.

Continued use of Rush after changes constitutes acceptance of the modified Terms. If you disagree, you must stop using the Service and delete your account.
